You and ScannerWire agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and NOT through court proceedings. You and ScannerWire are each waiving the right to a trial by jury or to participate in a class action.
YOU AND SCANNERWIRE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator shall not consolidate more than one person's claims and shall not preside over any form of representative or class proceeding.
Notwithstanding the above, either party may bring an individual action in small claims court for Disputes within the court's jurisdiction. ScannerWire may also seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes will be communicated through the app or via email.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any litigation permitted under these Terms (as excepted from the arbitration provision) shall be exclusively filed in the state or federal courts located in the State of Delaware.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. If the class action waiver in Section 14.2 is found unenforceable, then the entirety of the arbitration provision in Section 14 shall be null and void.
ScannerWire shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, third-party service outages (including but not limited to AWS, Broadcastify, Google, or Apple), radio signal disruptions, or any other force majeure event.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and ScannerWire regarding your use of the Service. These Terms supersede all prior agreements, representations, and understandings between you and ScannerWire. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
